Acceptance of These Terms ---------------------------- Welcome to Sealed ("Sealed," "we," "us," or "our"). These Terms & Conditions ("Terms") form a legally binding agreement between you and Sealed governing your access to and use of the Sealed mobile application and related services (collectively, the "Service"). By creating an account, checking the agreement box, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service. 2. Eligibility & Age Requirement -------------------------------- You must be at least 13 years old to use Sealed. If you are under the age of majority in your jurisdiction (typically 18), you may only use the Service with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf. By using Sealed, you represent and warrant that you meet these requirements and that all registration information you provide is accurate and truthful. We may refuse, suspend, or terminate accounts that do not meet these requirements. 3. Your Account --------------- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. You may not share your account, impersonate any person, or create an account using another person's identity or email. We are not liable for any loss or damage arising from your failure to safeguard your account. 4. Description of the Service ----------------------------- Sealed lets you record video and audio, write messages, and "seal" them into time capsules scheduled for future delivery to yourself or to recipients you choose, by email and/or in-app notification. Delivery timing depends on your device, network conditions, third-party email providers, and other factors outside our control. While we work hard to deliver every capsule at the intended moment, we do not guarantee exact, uninterrupted, or error-free delivery, and you should not rely on Sealed as the sole method of transmitting time-sensitive, critical, or legally significant information. 5. User Content & Your Responsibility ------------------------------------- "User Content" means everything you record, upload, write, or submit through Sealed, including videos, audio, images, text messages, titles, and recipient details. You are solely and fully responsible for your User Content and for the consequences of creating, sealing, and delivering it. You represent and warrant that: (a) you own or have all necessary rights, licenses, and consents to your User Content; (b) every identifiable person appearing or referenced in your User Content (including in any video or audio recording) has given you their consent to be recorded and to have that recording stored and delivered as described; (c) you have the right to send content to each recipient email address you provide; and (d) your User Content does not violate these Terms or any law. 6. Recording & Consent ---------------------- Sealed enables audio and video recording. Recording laws vary by location and some jurisdictions require the consent of all parties being recorded. You are solely responsible for understanding and complying with all applicable recording, wiretapping, publicity, and privacy laws where you and any recorded individuals are located. You must obtain any legally required consent before recording another person, and you must not record anyone covertly or without authorization. You agree that Sealed has no responsibility or liability for recordings you make. 7. License You Grant to Sealed ------------------------------ You retain all ownership rights in your User Content. To operate the Service, you grant Sealed a limited, non-exclusive, worldwide, royalty-free license to host, store, encode, back up, transmit, and display your User Content solely as necessary to provide the Service to you and your chosen recipients — for example, to store your capsule until its delivery date and then deliver it. This license exists only to run and improve the Service and ends when your User Content is deleted, except for residual copies retained in routine backups for a limited period or as required by law. 8. Prohibited Content & Conduct ------------------------------- You agree not to create, upload, seal, or deliver any content, or use the Service in any way, that: is unlawful, harassing, threatening, defamatory, abusive, hateful, or invasive of privacy; contains sexual content involving minors or exploits any person; infringes intellectual property, publicity, or privacy rights; contains malware or attempts to breach security; harvests data about others; sends spam, chain messages, or unsolicited communications; or violates any applicable law. We reserve the right, but have no obligation, to review, remove, or refuse to deliver any content that we reasonably believe violates these Terms, without notice and without liability. 9. Subscriptions, Purchases & Billing ------------------------------------- Sealed offers a free tier and paid options, including one-time purchases and auto-renewing subscriptions, sold through Apple's App Store. Prices are shown in the app. Payment is charged to your Apple ID account at confirmation of purchase. Auto-renewing subscriptions renew automatically at the then-current price unless canceled at least 24 hours before the end of the current period, and your account is charged for renewal within 24 hours prior to the end of the period. You can manage or cancel subscriptions in your Apple ID account settings. Except where required by law, purchases are non-refundable; refund requests for App Store purchases are handled by Apple under its terms. 10. Plan Limits --------------- Different plans include different limits, such as the number of capsules, number of recipients, and maximum video length. Current limits are described within the app and may change over time. Consuming a one-time credit or feature (such as sealing a premium capsule) is final once used. 11. Data Storage, Retention & Deletion -------------------------------------- Your capsules, videos, messages, and account data are stored on secure third-party cloud infrastructure. You may delete capsules you created at any time, which removes the associated message, video, and recipient records from active systems. When you delete your account, it enters a 30-day deactivation period: your account and capsules are deactivated and hidden, scheduled capsules stop being delivered, and your data is scheduled for permanent deletion. If you sign back in during those 30 days, the deletion is automatically canceled and your account is restored. If you do not sign back in, after 30 days your profile, videos, messages, capsules, and associated data are permanently and irreversibly deleted from active systems; residual copies may persist temporarily in encrypted backups and will be purged in the ordinary course. Content already delivered to a recipient may remain accessible to that recipient. See our Privacy Policy for details. 12. Third-Party Services ------------------------ Sealed relies on third-party providers to function, including cloud storage and database hosting, transactional email delivery, and Apple for authentication of purchases. Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts, omissions, availability, or policies. 13. Intellectual Property ------------------------- The Service, including its software, design, logos, text, and graphics (excluding your User Content), is owned by Sealed or its licensors and is protected by intellectual property laws. We grant you a limited, personal, non-transferable, non-exclusive, revocable license to use the app for its intended purpose. You may not copy, modify, distribute, reverse engineer, or create derivative works from the Service except as permitted by law. 14. Disclaimer of Warranties ---------------------------- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT CAPSULES WILL BE STORED WITHOUT LOSS OR DELIVERED AT ANY EXACT TIME. YOU USE THE SERVICE AT YOUR OWN RISK. 15. Limitation of Liability --------------------------- TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEALED AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, CONTENT, MEMORIES, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR USD $50. 16. Indemnification ------------------- You agree to indemnify, defend, and hold harmless Sealed and its affiliates, officers, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: your User Content; your use of the Service; your violation of these Terms; your violation of any recording, privacy, or consent law; or your infringement of any third party's rights. 17. Suspension & Termination ---------------------------- We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Service or other users. You may stop using the Service and delete your account at any time from the app's settings. Deleting your account begins a 30-day deactivation window during which you can restore your account simply by signing back in; after 30 days your data is permanently deleted as described in Section 11. Sections that by their nature should survive termination (including content licenses granted to you, disclaimers, limitations of liability, and indemnification) will survive. 18. Changes to the Service or Terms ----------------------------------- We may modify the Service or these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as within the app. Your continued use after changes become effective constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service. 19. Governing Law & Disputes ---------------------------- These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. You agree that any dispute will be resolved in the courts located there, unless applicable law grants you the right to bring proceedings in your local courts. Nothing in these Terms limits any non-waivable statutory rights you may have as a consumer. 20.
